CONSIDERANDO que a Telesign é uma provedora de serviços de identidade móvel e prevenção de fraudes (os “Serviços”); e

PORTANTO, considerando as premissas estabelecidas acima eas promessas, condições e acordos mútuos previstos neste instrumento, as Partes acordam o seguinte:

1. Definições.

A menos que o contexto exija de outra forma, os termos a seguir terão o significado estabelecido nesta seção 1 abaixo:

“Política de Uso Aceitável” ou “AUP” refere-se às obrigações da Companhia e dos Usuários em relação ao uso dos Serviços e Dados Licenciados, conforme estabelecido em https://www.telesign.com/acceptable-use-policy, podendo ser atualizada periodicamente pela Telesign a seu exclusivo critério. Quaisquer referências a Clientes ou a Dados de Clientes na Política de Uso Aceitável serão consideradas como referências à Companhia e aos Dados da Companhia, respectivamente.

“Afiliada” refere-se a uma Companhia, pessoa ou entidade que pertence ou é controlada por, que possui ou controla ou está sob propriedade ou controle comum de uma Parte. Propriedade significa propriedade direta ou indireta de mais de 50% das ações de uma Companhia ou entidade e controle significa qualquer poder para nomear pessoas para o conselho de administração de uma Companhia ou entidade.

“API” refere-se à interface de programação de aplicativos disponibilizada à Companhia pela Telesign que permite à Companhia criar aplicativos para fazer uso dos Serviços.

“Lei Aplicável” refere-se a qualquer lei, decreto, portaria, regulamento, ordem e outras disposições legislativas, incluindo qualquer legislação delegada ou subordinada, e qualquer julgamento de um tribunal relevante ou decisão de um tribunal ou autoridade competente, na medida em que o acima exposto se aplique ao desempenho de obrigações de uma Parte sob estes Termos e Condicões na jurisdição relevante.

“Dados da Companha” refere-se a qualquer informação transmitida por ou em nome da Companhia durante a execução de uma solicitação eletrônica aos Serviços, incluindo qualquer informação sobre um indivíduo identificado ou um indivíduo cuja identidade possa ser inferida ou determinada a partir das informações contidas em tais dados.

“Adendo de Tratamento de Dados” ou “DPA” refere-se ao adendo localizado em https://www.telesign.com/DPA em vigor na Data de Assinatura deste Acordo, bem como suas atualizações feitas periodicamente pela Telesign, desde que essas atualizações não resultem na diminuição material das proteções originais de privacidade e segurança, conforme exigido pela Lei Aplicável.

“Data de Assinatura” refere-se à data em que a Companhia aceita estes Termos e Condições ou, se anterior, a data em que a Telesign concede à Companhia o primeiro acesso aos Serviços nos termos destes Termos e Condições.

“Direitos de Propriedade Intelectual” refere-se a todos os segredos comerciais, patentes e pedidos de patentes, marcas registradas, marcas de serviços, nomes comerciais, nomes de domínio da Internet, direitos autorais (incluindo direitos autorais de software de computador), direitos morais, know-how e quaisquer renovações ou extensões do mencionado acima, bem como todos os outros direitos de propriedade e demais direitos equivalentes ou similares que possam subsistir em qualquer lugar do mundo, incluindo quaisquer renovações ou extensões.

“Dados Licenciados” refere-se aos resultados retornados à Companhia por ou em nome da Telesign em resposta à Companhia que envia os Dados à Companhia como parte dos Serviços.

“Evento” refere-se a [nome do evento], organizado ou promovido pela Telesign, do qual a Companhia participou como convidada e em razão do qual, como forma de captação de clientes estendida a todas as empresas participantes, a Companhia recebeu o uso gratuito e a título de teste dos Serviços, nos termos aqui previstos.

“SDK” refere-se a um kit de desenvolvimento de software disponibilizado à Companhia pela Telesign para permitir que a Companhia desenvolva aplicativos para fazer uso dos Serviços.

“Serviços” refere-se a todos os produtos oferecidos pela Telesign, conforme descritos em https://www.telesign.com/services ou fornecidos, de outra forma, pela Telesign e incluindo quaisquer serviços entregues ou acessados por meio de um SDK ou do Portal do Cliente (incluindo, entre outros, mensagens SMS de saída e entrada e chamadas telefônicas para e de Usuários). Quaisquer referências a Cliente ou aos Dados do Cliente na descrição dos Serviços deverão ser consideradas como referências à Companhia e aos Dados da Companhia, respectivamente.

“Transação” refere-se a cada envio de Dados da Companhia aos Serviços por ou em nome da Companhia, de uma Afiliada da Companhia, ou de qualquer Usuário, incluindo, entre outros, qualquer envio de conteúdo de voz ou SMS ou qualquer outra solicitação ao Portal do Cliente por qualquer Serviço. Qualquer envio de conteúdo SMS que exija a divisão em mais de uma mensagem deve ser tratado como uma transação separada para cada SMS enviado ou recebido pela Telesign.

“Usuário” refere-se a qualquer cliente ou outro usuário dos serviços da Companhia em relação aos quais os Dados da Companhia são enviados.

2. Escopo dos Serviços e dos Termos e Condicões

2.1 O período de teste gratuito terá início na Data de Assinatura e se encerra três (3) meses após essa data (“Período de Teste Gratuito”). Estes Termos e Condições serão automaticamente extintos ao final do Período de Teste Gratuito (a não ser que rescindido antes conforme os devidos termos), a menos que a Telesign e a Companhia concordem mutuamente em prolongar o Período de Teste Gratuito. Em qualquer hipótese, o uso dos Serviços após o término do Período de Teste Gratuito, ou em volume superior às Transações Gratuitas em caráter permanente, dependerá da celebração de instrumento específico pelas Partes (inclusive Master Services Agreement) autorizando a continuidade do uso.

2.2. Sujeito a estes Termos e Condições, a Telesign deverá disponibilizar à Companhia os Serviços durante o Período de Teste Gratuito, até os volumes estabelecidos na cláusula 2.5 abaixo. Esses Serviços serão fornecidos por meio da API ou SDK da Telesign, ou se acordado com a Telesign, a Companhia pode enviar um arquivo em lote (“batch file”) em um formato a ser determinado pela Telesign para avaliar os Serviços.

2.3. A Companhia concorda em usar os Serviços para determinar a aceitabilidade dos Serviços e se a Companhia tem ou não interesse em obte-los, conforme apropriado, os Serviços da Telesign para a utilização pela Companhia. Se a Companhia considerar os Serviços da Telesign aceitáveis e solicitar à Telesign o fornecimento de Serviços além do âmbito da avaliação descrita neste documento, as Partes deverão negociar e firmar um MSA mutuamente aceitável previamente a qualquer utilização pela Companhia.

2.4. A Telesign retém todos os direitos, títulos e interesses, incluindo todos os Direitos de Propriedade Intelectual, relacionados ou incorporados nos Serviços, incluindo, sem limitação, toda a tecnologia, hardware, software, sistemas e cópias dos itens anteriores relacionados aos Serviços, incluindo, sem limitação, upgrades, atualizações ou modificações dos mesmos ou não. Tais Direitos de Propriedade Intelectual são licenciados, não vendidos, exclusivamente para utilização pela Companhia nos termos deste Contrato. O SDK é licenciado para a Companhia de acordo com o contrato de licença de SDK da Telesign, que está disponível em https://www.telesign.com/telesign-sdk-license-agreement/ os termos dos quais podem ser alterados pela Telesign de tempos em tempos, a seu próprio critério.

2.5. A Companhia poderá utilizar os Serviços sem qualquer encargo até o total de quinze milhões (15.000.000) de Transações de verificação de e-mail durante o Período de Teste Gratuito, limitado a cinco milhões (5.000.000) de Transações por mês calendário (“Transações Gratuitas Mensais”). As Transações Gratuitas Mensais são disponibilizadas em base mensal recorrente e são reiniciadas no primeiro dia de cada mês calendário durante o Período de Teste Gratuito; Transações Gratuitas Mensais não utilizadas não são transferidas para os meses subsequentes, e em nenhuma hipótese o uso agregado dos Serviços pela Companhia durante o Período de Teste Gratuito excederá quinze milhões (15.000.000) de Transações no total. Caso o Período de Teste Gratuito não se inicie no primeiro dia de um mês calendário, o volume aplicável ao primeiro mês será proporcional em base diária.

Atingido o volume de Transações Gratuitas Mensais em qualquer mês, ou o limite agregado de quinze milhões (15.000.000) de Transações para todo o Período de Teste Gratuito, o que ocorrer primeiro, a Telesign suspenderá automaticamente o acesso da Companhia aos Serviços, da seguinte forma:

Suspensão automática: a Telesign poderá bloquear o acesso da Companhia aos Serviços pelo restante de tal mês, sendo o acesso automaticamente restabelecido no primeiro dia do mês calendário subsequente, até o volume de Transações Gratuitas Mensais aplicável, sem nunca exceder o limite agregado de quinze milhões (15.000.000) de Transações para o Período de Teste Gratuito.

Em qualquer hipótese, o uso dos Serviços após o término do Período de Teste Gratuito, ou em volume superior às Transações Gratuitas em caráter permanente, dependerá da celebração de instrumento específico pelas Partes (inclusive Master Services Agreement) autorizando a continuidade do uso.

2.6. A Companhia concorda que caso a Companhia use os Serviços em seu ambiente de produção, o fornecimento e uso de todos os Serviços estarão sujeitos aos termos e condições estabelecidos no Master Services Agreement localizado em https://www.telesign.com/master-services-agreement

2.7. A Telesign pode, periodicamente ou após o Período de Teste Gratuito, solicitar à Companhia o fornecimento de informações adicionais e conjuntos de dados que possam permitir a obtenção de melhor desempenho dos Serviços por meio das calibrações específicas da Companhia ou para fornecer à Companhia sugestões adicionais relacionadas aos resultados e a qualidade dos Serviços. Os tipos de informações e conjuntos de dados necessários devem ser mutuamente acordados pelas partes no momento da solicitação.

3. Proteção da Privacidade e Dados.

3.1. As Partes cumprirão suas obrigações sob estes Termos e Condicões em conformidade com todas as Leis Aplicáveis relacionadas à proteção da privacidade e de dados incluindo mas não se limitando à Lei No. 13.709/2018 (¨Lei Geral de Protecão de Dados¨ ou ¨LGPD¨), no fornecimento e uso dos Serviços, incluindo o Arquivo de Resultados. A Telesign deve tratar e proteger os Dados da Companhia de acordo com o Adendo de Tratamento de Dados.

3.2. Sujeitos ao Adendo de Tratamento de Dados, os Dados da Companhia podem ser armazenados e tratados nos Estados Unidos ou em qualquer outro país em que a Telesign mantenha instalações. A Companhia consente com tais transferências e nomeia a Telesign para realizar tais transferências em nome da Companhia, a fim de fornecer os Serviços. A Companhia deve fornecer a todos os Usuários toda transparência ou explicação exigida pelas Leis Aplicáveis a respeito do uso dos Serviços pela Companhia, e obter e garantir qualquer consentimento e autorização necessários dos Usuários que possam ser exigidos pelas Leis Aplicáveis, a fim de autorizar a prestação dos Serviços pela Telesign ou garantir uma base legal para a prestação dos Serviços pela Telesign e o tratamento de Dados da Companhia.

3.3. A Companhia reconhece que alguns Dados Licenciados recebidos de certos Serviços de Telesign podem incluir dados obtidos de operadoras de telecomunicações pertinentes (“Operadoras”) e que a avaliação de tais Serviços de Telesign pela Companhia pode ser condicionado ao recebimento do consentimento das Operadoras. Caso esse consentimento seja necessário para a avaliação sob estes Termos e Condicões, a Companhia deve primeiro preencher um Formulário de Integração, que será então enviado pela Telesign em nome da Companhia para as Operadoras para obter o consentimento das Operadoras (com o que a Companhia concorda). A Companhia consente ainda que a Telesign compartilhe com as Operadoras os detalhes da avaliação proposta pela Companhia desses serviços de Telesign, o que pode incluir Informações Confidenciais da Companhia, a fim de fornecer às Operadoras um maior contexto sobre as informações fornecidas pela Companhia no Formulário de Integração. No caso de as Operadoras exigirem que a Companhia atualize ou altere seus processos, termos de serviço, de uso ou políticas, conforme estabelecido no Formulário de Integração, a Companhia concorda que deverá cumprir tais requisitos para obter o consentimento das Operadoras. A Companhia concorda ainda que a Telesign não será obrigada a permitir que a Companhia avalie esses Serviços de Telesign até que a Companhia tenha obtido o consentimento necessário das Operadoras, bem como que a Companhia não responsabilizará a Telesign no caso de as Operadoras não aprovarem o uso desses Serviços da Telesign pela Companhia.

4. Informações Confidenciais.

4.1. Neste documento, “Informações Confidenciais” significa todas as informações confidenciais e proprietárias de uma Parte (“Parte Divulgadora”) divulgadas à outra Parte (“Parte Receptora”) que (a) se divulgadas oralmente, sejam designadas como confidenciais no momento da divulgação; (b) se divulgadas por escrito, estiverem marcadas como “Confidencial” e/ou “Proprietário”; ou (c) devam razoavelmente ser entendidas como confidenciais, dada a natureza das informações e as circunstâncias da divulgação, incluindo os termos e condições destes Termos e Condicões, capturas de tela dos Serviços, term sheets, preços em propostas, materiais de negócios e marketing, informações técnicas e de tecnologia, design de produtos e processos de negócios. Informações Confidenciais não devem incluir nenhuma informação que: (i) seja ou se torne de conhecimento geral do público sem que tenha ocorrido violação a qualquer obrigação devida à Parte Divulgadora; (ii) seja de conhecimento da Parte Receptora antes de sua divulgação pela Parte Divulgadora, sem que tenha ocorrido violação de qualquer obrigação devida à Parte Divulgadora; (iii) tenha sido desenvolvida de forma independente pela Parte Receptora, sem que tenha ocorrido violação de qualquer obrigação devida à Parte Divulgadora (e que tal fato possa ser demonstrado e comprovado de modo claro e convincente); ou (iv) seja recebida de um terceiro sem que tenha ocorrido violação a qualquer obrigação devida à Parte Divulgadora.

4.2. A Parte Receptora não divulgará ou usará Informações Confidenciais da Parte Divulgadora para qualquer finalidade fora do escopo destes Termos e Condicões, exceto com a permissão prévia por escrito da Parte Divulgadora. Não obstante o acima exposto, a Parte Receptora poderá divulgar essas Informações Confidenciais a seus empregados e prestadores de serviço que precisem saber tais informações para fins de fornecimento ou recebimento dos Serviços, bem como certifica que esses empregados e prestadores de serviço concordaram, seja como condição contratual ou de forma a obter as Informações Confidenciais, em estarem vinculados a termos e condições substancialmente semelhantes aos destes Termos e Condicões. Adicionalmente, cada Parte poderá divulgar a existência e termos destes Termos e Condicões, confidencialmente, a um potencial comprador ou sucessor de qualquer parte dos negócios de tal Parte resultante da reorganização, cisão ou venda de todos ou de uma parte dos ativos de qualquer Companhia, divisão ou grupo dessa Parte. A Parte Receptora deve usar o mesmo grau de cuidado para proteger as Informações Confidenciais que usa para proteger suas próprias informações de natureza confidencial e proprietária, mas em nenhum caso deverá usar menos do que um grau de cuidado razoável com tais informações.

4.3. Se a Parte Receptora for obrigada pela Lei Aplicável a divulgar Informações Confidenciais da Parte Divulgadora, deverá fornecer à Parte Divulgadora um aviso prévio dessa divulgação obrigatória (na extensão legalmente permitida) e assistência razoável, às custas da Parte Divulgadora, se a Parte Divulgadora desejar contestar a divulgação.

4.4. Após o término do Período de Teste Gratuito, a Parte Receptora deverá, mediante solicitação da Parte Divulgadora, destruir ou excluir (a critério da Parte Receptora) as Informações Confidenciais e todas as suas cópias e deverá fornecer evidências por escrito para a Parte Divulgadora de tal destruição ou exclusão das Informações Confidenciais de seus sistemas de computador. A Companhia concorda em manter os processos e metodologia dos Serviços em confidencialidade estrita e não divulgar esses processos e metodologia para qualquer terceiro ou usá-los para quaisquer propósitos outros do que aqueles especificamente autorizados por este documento. Adicionalmente, a Companhia concorda que quaisquer resultados de sua avaliação dos Serviços e/ou relatórios gerados deste modo (“Arquivo de Resultados”) deverão ser considerados e tratados como Informações Confidenciais. A Companhia deverá, dentro de noventa dias (90) dias a partir do recebimento do Arquivo de Resultados, destruir ou excluir o Arquivo de Resultados e fornecer evidências para a Telesign de que o Arquivo de Resultados, incluindo quaisquer cópias do mesmo, tenha sido destruído ou foi eliminado dos servidores de dados da Companhia e servidores de backup, não podendo mais ser recuperado em hipótese alguma pela Companhia. As obrigações das Partes sob esta Cláusula deverão sobreviver ao encerramento por qualquer motivo destes Termos e Condicões.

5. Garantias, Responsabilidade e Rescisão.

5.1. A Telesign garante e declara que (a) possui ou licencia todos os Direitos de Propriedade Intelectual necessários para fornecer os Serviços e tem autoridade para conceder tais direitos sujeitos aos termos e condições aqui estabelecidos; (b) os Serviços não violarão os Direitos de Propriedade Intelectual de terceiros; e (c) fornecerá os Serviços em conformidade com todas as Leis Aplicáveis.

5.2. A Companhia garante e declara que, no uso dos Serviços, irá: (a) cumprir a Política de Uso Aceitável; (b) obter e manter todas as licenças, consentimentos e permissões necessários para que a Telesign cumpra suas obrigações sob estes Termos e Condicões, incluindo a prestação dos Serviços.

5.3. SALVO O DISPOSTO NESTE DOCUMENTO, OS SERVIÇOS SÃO FORNECIDOS PARA A COMPANHIA “NO ESTADO EM QUE SE ENCONTRAM” (AS IS) E COM TODAS AS SUAS FALHAS. EXCETO CONFORME ESTABELECIDO NESTE DOCUMENTO, A TELESIGN NÃO FAZ QUALQUER DECLARAÇÃO E/OU GARANTIA DE QUALQUER TIPO, EXPRESSA OU IMPLÍCITA, EM CONEXÃO COM OS SERVIÇOS, OU O HARDWARE OU SOFTWARE USADOS OU ACESSADOS EM RELAÇÃO COM OS SERVIÇOS, INCLUINDO, MAS NÃO LIMITADAS A GARANTIAS IMPLÍCITAS DE COMERCIALIZAÇÃO, ADEQUAÇÃO A UMA FINALIDADE ESPECÍFICA E/OU QUALQUER GARANTIA DE QUE A PRESTAÇÃO DOS SERVIÇOS SERÁ ININTERRUPTA OU SEM ERROS. A COMPANHIA RECONHECE QUE A TELESIGN PROTEGE AS INFORMAÇÕES DE FONTES TERCEIRAS, E NEM A TELESIGN NEM NENHUMA DE SUAS FONTES TERCEIRAS GARANTEM QUE AS INFORMAÇÕES SERÃO PRECISAS OU SEM ERROS.

5.4. Cada Parte (a “Parte Indenizadora”) indenizará, defenderá e isentará a outra Parte, suas afiliadas e seus respectivos executivos, diretores, agentes e empregados (a “Parte Indenizada”) contra toda responsabilidade, custos, despesas, danos e perdas sofridas ou incorridas pela Parte Indenizada decorrentes de qualquer reivindicação feita por qualquer terceiro relacionados à ou decorrente de (i) qualquer violação real ou alegada de quaisquer Direitos de Propriedade Intelectual de qualquer pessoa ou entidade; e/ou (ii) qualquer violação de uma garantia expressamente estabelecida nestes Termos e Condicões pela Parte Indenizadora; exceto na medida que essa reivindicação decorra de qualquer ação ou omissão da Parte Indenizada.

5.5. Exceto quanto a indenizações nos termos da cláusula 5.4, a responsabilidade agregada de cada Parte para com a outra, decorrente ou relacionada a este Contrato, sob qualquer instituto legal (contratual, extracontratual ou outro), não excederá, em nenhuma hipótese, dez mil dólares americanos (US$ 10.000,00). Em nenhum caso qualquer das Partes será responsável por danos indiretos, especiais, incidentais ou consequenciais, incluindo lucros cessantes, presentes ou futuros, qualquer que seja o fundamento da responsabilidade.

5.6. A Telesign reserva o direito de suspender ou rescindir os Serviços fornecidos sob estes Termos e Condicões a qualquer momento a seu critério.

6. Diversos.

6.1. A Companhia pode não ceder estes Termos e Condicões sem o consentimento prévio por escrito da Telesign que não será injustificadamente recusado.

6.2. A falha ou atraso por qualquer uma das Partes no exercício de quaisquer direitos ou poderes sob este documento não funcionará como uma renúncia desse direito ou poder. Se qualquer um ou mais dos dispositivos estes Termos e Condicões for, por qualquer razão, considerado inválido, ilegal ou inexequível, tal fato não deverá afetar qualquer outro dispositivo deste estes Termos e Condicões.

6.3. A Companhia reconhece que as leis e regulamentos dos Estados Unidos restringem a exportação e reexportação de commodities e dados técnicos originários dos Estados Unidos, incluindo os Serviços. Sem limitar o supracitado, a Companhia reconhece que os Serviços estão ou podem estar sujeitos a controles sob os Regulamentos de Administração de Exportação (“Export Administration Regulations”) promulgados pelo Departamento do Comércio dos Estados Unidos. A Companhia concorda em não exportar ou reexportar os Serviços em qualquer forma que viole as leis de exportação dos Estados Unidos ou qualquer jurisdição estrangeira. A Companhia defenderá, indenizará e manterá a Telesign isenta de e contra qualquer violação dessas leis ou regulamentos.

6.4. Cada Parte reconhece que está ciente, entende, cumpriu e cumprirá todas as leis anticorrupção aplicáveis dos Estados Unidos, Brasil e demais estrangeiras, incluindo, sem limitação, a Lei 12.846 de 1º de agosto de 2013; ao Decreto Federal 8.420, de 18 de março de 2015; à Lei 8.429, de 2 de junho de 1992; à Lei 12.529, de 30 de novembro de 2011; à Lei 9.613, de 3 de março de 1998 e à Lei nº 14.133, de 1º de abril de 2021, a Lei de Práticas de Corrupção no Exterior (“Foreign Corrupt Practices Act”) dos Estados Unidos e a Lei de Suborno (“Bribery Act”) do Reino Unido, e leis anticorrupção e antissuborno igualmente aplicáveis (“Leis Anticorrupção”). Cada parte concorda que ninguém agindo em seu nome dará, oferecerá, concordará ou prometerá dar, ou autorizará a doação direta ou indireta, de qualquer dinheiro ou outra coisa de valor, incluindo viagens, entretenimento ou presentes, a qualquer pessoa como estímulo ou recompensa ilegal por ação ou omissão favorável ou exercício de influência ilegal (a) a qualquer oficial ou funcionário de governo (incluindo funcionários de Companhias ou agências estatais e controladas pelo governo ou organizações internacionais públicas), (b) a qualquer partido político, funcionário de um partido político ou candidato, (c) a um intermediário para pagamento a qualquer um dos anteriores, ou (d) a qualquer outra pessoa ou entidade em um esforço corrupto ou impróprio de forma a obter ou manter negócios ou qualquer vantagem comercial, como receber uma permissão ou licença, ou direcionar negócios para qualquer pessoa. Pagamentos impróprios, subornos, propinas, pagamentos de influência ou outras ofertas ilegais a qualquer pessoa são proibidos por estes Termos e Condicões.

6.5. Estes Termos e Condicões serão regidos e interpretados exclusivamente de acordo com as leis da República Federativa do Brasil, sem consideração a quaisquer regras ou princípios sobre conflito de leis. Na hipótese de surgimento de qualquer controvérsia decorrente destes Termos e Condicões, as Partes envidarão esforços razoáveis e de boa-fé para resolver a disputa de forma amigável e extrajudicial. Fica eleito o Foro da Comarca de São Paulo, Estado de São Paulo, com exclusão de qualquer outro, por mais privilegiado que seja, para dirimir quaisquer dúvidas, controvérsias ou disputas oriundas destes Termos e Condicões.

6.6. Estes Termos e Condições constituem o entendimento integral das Partes sobre o assunto deste documento e substituem todos e quaisquer contratos e entendimentos anteriores por escrito ou verbais entre as Partes. Os termos destes Termos e Condicões só podem ser alterados por meio de um documento por escrito assinado por ambas as Partes. As Partes concordam com a celebração destez Termos e Condicões em uma ou mais vias e/ou por assinatura eletrônica, incluindo o uso da plataforma e dos processos da DocuSign, Inc., conforme sejam atualizados periodicamente.

6.7. As Cláusulas 2.3, 2.4, 4, 5.1 a 5.5 e 6.4 permanecerão válidas após a rescisão ou término destesTermos e Condicões.

6.8. As Partes reconhecem e concordam que apenas a versão em inglês destes estes Termos e Condicões e quaisquer Demonstrativos e Anexos será legalmente válida e que em caso de conflito entre a versão em português e a versão em inglês destes Termos e Condicões e quaisquer de seus Demonstrativos e Anexos, a versão em inglês prevalecerá.

Ao preencher o formulário e participar da ação, você (“Participante”) declara ter lido, compreendido e aceito integralmente estes Termos e Condições e estar ciente do tratamento de seus dados pessoais conforme a Cláusula 6 e a Política de Privacidade da Telesign. A participação é voluntária e gratuita.

1. DO OBJETO E DA NATUREZA DA AÇÃO

1.1. Estes Termos regem a distribuição gratuita de um brinde de cortesia um (01) gelato da marca Bacio di Latte (“Brinde”) oferecido pela Telesign aos visitantes do seu estande durante o Febraban Tech 2026, a título exclusivamente promocional e institucional.

1.2. A ação não constitui sorteio, concurso, vale-brinde, operação assemelhada ou promoção comercial sujeita a autorização nos termos da Lei nº 5.768/1971, da Lei nº 13.756/2018 e da regulamentação da Secretaria de Prêmios e Apostas do Ministério da Fazenda, pois: (i) não há qualquer elemento de sorte, álea ou aleatoriedade; (ii) o Brinde é entregue a todo Participante elegível que cumpra a mecânica da Cláusula 4; e (iii) sua obtenção não está condicionada à aquisição de qualquer produto, serviço ou pagamento.

1.3. Trata-se de mera liberalidade da Telesign, que poderá ser encerrada a qualquer momento, inclusive por esgotamento de estoque, sem gerar obrigação de indenizar ou direito adquirido em favor dos Participantes.

2. DA REALIZADORA

2.1. A ação é realizada por Telesign do Brasil Ltda, CNPJ n. 58.506.115/0001-32 com sede em Rua Doutor Sodré 122, conj. 43, Edifício São Luís Business Center, Vila Nova Conceição, São Paulo/SP, CEP 04535-110, sociedade integrante do grupo Proximus Global que reúne, entre outras, as marcas Telesign, Route Mobile e BICS (“Telesign”, “Realizadora” ou “Controladora”). A entidade controladora do grupo é a Telesign Corporation (13274 Fiji Way, Suite 500, Marina del Rey, CA 90292, EUA).

2.2. Esta ação é promovida de forma independente pela Telesign e não é patrocinada, endossada, administrada ou associada à Febraban (Federação Brasileira de Bancos) nem à organização do evento, que não assumem qualquer responsabilidade em relação a ela.

3. DO PERÍODO, LOCAL E DISPONIBILIDADE

3.1. A ação ocorrerá nos dias 24, 25 e 26 de agosto de 2026, durante o horário oficial do Febraban Tech 2026, no estande da Telesign, no Distrito Anhembi (Av. Olavo Fontoura, 1.209, Santana, São Paulo/SP).

3.2. O Brinde está limitado às quantidades disponíveis e será oferecido enquanto durarem os estoques. A Telesign não garante disponibilidade a todos os visitantes e poderá encerrar a distribuição antes do término do evento, a seu exclusivo critério.

4. DE QUEM PODE PARTICIPAR E DA MECÂNICA

4.1. Podem participar pessoas naturais que, cumulativamente:

• sejam maiores de 18 (dezoito) anos e plenamente capazes;

• estejam devidamente credenciadas e presentes no Febraban Tech 2026; e

• preencham e enviem o formulário, aceitando estes Termos.

4.2. Para receber o Brinde, o Participante deverá: (i) acessar o formulário pelo QR Code do estande; (ii) preencher os campos com informações verdadeiras, exatas e atuais; (iii) enviar o formulário; e (iv) apresentar a confirmação à equipe Telesign no estande para retirada.

4.3. Cada Participante fará jus a 01 (um) Brinde por pessoa durante toda a vigência. É vedado o fornecimento de dados falsos, de terceiros ou o uso de meios fraudulentos, sob pena de desclassificação e das medidas legais cabíveis.

4.4. A Telesign poderá solicitar comprovação de credenciamento no evento para a entrega do Brinde.

5. DO BRINDE

5.1. O Brinde consiste em 01 (uma) porção de gelato Bacio di Latte, nos sabores e formatos disponíveis no estande, sem custo ao Participante.

5.2. O Brinde é pessoal e intransferível, não podendo ser trocado por dinheiro, convertido em outro produto/serviço, nem acumulado.

5.3. Aviso a alérgicos e restrições alimentares: o gelato pode conter leite e derivados e ser produzido em ambiente que manipula ovos, oleaginosas (castanhas, nozes, amendoim), glúten e outros alérgenos. É responsabilidade exclusiva do Participante verificar os ingredientes junto à equipe antes do consumo. A Telesign não se responsabiliza por reações alérgicas, intolerâncias ou efeitos decorrentes do consumo do Brinde.

6. DO TRATAMENTO DE DADOS PESSOAIS (LGPD)

6.1. O tratamento de dados pessoais observa a Lei nº 13.709/2018 (“LGPD”). A Telesign atua como Controladora. Para os fins desta ação, o Participante é tratado como um “contato profissional” (“Business Contact”), categoria expressamente prevista na Política de Privacidade da Telesign para dados coletados em feiras e eventos, disponível em https://www.telesign.com/privacy-notice, que complementa estes Termos.

6.2. Dados coletados. Serão coletados os dados fornecidos no formulário:

• nome e sobrenome;

• e-mail corporativo (de trabalho);

• telefone celular;

• empresa/local onde trabalha; e

• cargo/função exercida.

6.3. Finalidades. Os dados serão tratados para:

• operacionalizar a ação, validar a elegibilidade e viabilizar a entrega do Brinde;

• contato comercial e de relacionamento (marketing B2B) sobre produtos, serviços, novidades do setor e eventos da Telesign (ex.: verificação de identidade, prevenção a fraudes e engajamento de clientes);

• ações conjuntas de marketing e vendas com subsidiárias e afiliadas do grupo Proximus Global (co-marketing, cross-selling e geração de leads); e

• estatísticas e análises internas sobre a ação e o público do evento, preferencialmente de forma agregada.

6.4. Bases legais. Conforme a LGPD e a Política de Privacidade da Telesign: (i) consentimento (art. 7º, I), quando exigido pela legislação de marketing, para o envio de comunicações; (ii) legítimo interesse (art. 7º, IX, e art. 10) para a prospecção comercial B2B junto a contatos profissionais, quando não exigido consentimento, respeitados os direitos e as legítimas expectativas do titular; e (iii) execução das providências necessárias à operação e entrega do Brinde. Em qualquer caso, é assegurado o direito de oposição e de descadastro.

6.5. Compartilhamento. Os dados poderão ser compartilhados com subsidiárias e afiliadas do grupo Proximus Global e com operadores/fornecedores contratados (ex.: plataformas de captação de leads, automação de marketing e CRM), que atuam apenas conforme instruções e mediante contratos de proteção de dados, exclusivamente para as finalidades acima.

6.6. Transferência internacional. Dado o caráter global da Telesign, os dados são armazenados nos Estados Unidos e podem ser transferidos e processados também na União Europeia, Reino Unido, Sérvia, China, Colômbia e Singapura. A Telesign adota as salvaguardas exigidas pelos arts. 33 a 36 da LGPD, incluindo cláusulas contratuais padrão e a certificação no Data Privacy Framework (EU-US, extensão UK e Swiss-US), conforme https://www.telesign.com/data-privacy-framework-notice.

6.7. Retenção. Os dados serão mantidos pelo tempo necessário às finalidades e às obrigações legais aplicáveis, ou até a solicitação de exclusão/revogação do consentimento, o que ocorrer primeiro, ressalvadas as hipóteses de guarda legítima (art. 16 da LGPD). Sugere-se fixar prazo objetivo (ex.: 24 meses após o evento).

6.8. Direitos do titular. Nos termos do art. 18 da LGPD, o Participante pode requerer confirmação, acesso, correção, anonimização, portabilidade, eliminação, informação sobre compartilhamento, além de revogar o consentimento e opor-se ao tratamento. As solicitações e o descadastro podem ser feitos pela página de privacidade da Telesign (https://www.telesign.com/privacy-requests), pelo telefone gratuito 1 800 850 3485, pelo endereço postal Telesign Corporation, 13274 Fiji Way, Suite 500, Marina del Rey, CA 90292, EUA, ou pelo Encarregado/DPO em [email protected]. A revogação não afeta a entrega já realizada do Brinde nem a licitude do tratamento anterior.

6.9. Segurança. A Telesign mantém programa de segurança da informação com medidas físicas, técnicas e administrativas (é certificada ISO 27001 e utiliza criptografia/TLS, entre outras), conforme o art. 46 da LGPD.

6.10. Documentos complementares. Complementam estes Termos a Política de Privacidade (https://www.telesign.com/privacy-notice), o Cookie Notice (https://www.telesign.com/cookies) e os Termos & Condições gerais da Telesign (https://www.telesign.com/terms-conditions). Em caso de conflito quanto ao tratamento de dados, prevalece a Política de Privacidade.

7. DOS CONSENTIMENTOS ESPECÍFICOS (OPT-IN)

7.1. As autorizações desta Cláusula são opcionais e independentes. A recusa não impede a participação nem a retirada do Brinde. São coletadas por meio de campos de marcação (checkboxes) separados no formulário e podem ser revogadas a qualquer tempo pelos canais da Cláusula 6.8.

7.2. Comunicações de marketing. Ao marcar o campo específico, o Participante consente em receber comunicações de marketing e relacionamento da Telesign e das empresas do grupo Proximus Global, por e-mail, telefone e/ou aplicativos de mensagens. O consentimento é livre e pode ser revogado a qualquer momento, inclusive pelo link de descadastro presente nas comunicações.

7.3. Uso de imagem em redes sociais. Ao marcar o campo específico, o Participante autoriza a Telesign a captar e utilizar sua imagem (fotos e/ou vídeos) obtida no estande durante o Febraban Tech 2026 e a divulgá-la, a título gratuito e sem qualquer contraprestação, nos canais institucionais e redes sociais da Telesign (como LinkedIn, Instagram, Facebook, YouTube e site oficial), para fins institucionais e de marketing, em âmbito mundial e no ambiente online, pelo prazo de 24 meses contados do evento ou até que o Participante solicite a remoção. A autorização pode ser revogada a qualquer tempo, cessando usos futuros; a Telesign envidará esforços razoáveis para remover o conteúdo já publicado sob seu controle, ressalvadas republicações por terceiros fora de sua gestão.

7.4. A não marcação de qualquer dos campos acima não gera qualquer prejuízo ao Participante quanto à obtenção do Brinde.

8. DA LIMITAÇÃO DE RESPONSABILIDADE

8.1. A Telesign não se responsabiliza por: (i) informações incorretas, desatualizadas ou incompletas fornecidas pelo Participante; (ii) falhas técnicas, de conexão, de dispositivos, do QR Code ou do formulário; (iii) indisponibilidade do Brinde por esgotamento de estoque; e (iv) reações alérgicas, intolerâncias ou efeitos à saúde decorrentes do consumo do Brinde.

8.2. Na máxima extensão permitida pela legislação aplicável, a responsabilidade da Telesign limita-se à disponibilização do Brinde nos termos aqui previstos, excluídos danos indiretos, lucros cessantes ou danos emergentes.

8.3. A Telesign não responde por caso fortuito ou força maior, nem por fatos atribuíveis à organização do evento ou a terceiros.

9. DAS DISPOSIÇÕES GERAIS

9.1. A Telesign poderá, a seu critério e a qualquer tempo, alterar, suspender, prorrogar ou encerrar a ação e modificar estes Termos, mediante comunicação no estande e/ou no formulário, sem gerar direito a indenização.

9.2. A eventual invalidade de qualquer cláusula não prejudicará as demais, que permanecerão válidas e eficazes.

9.3. A participação implica a aceitação integral destes Termos. Casos omissos serão resolvidos pela Telesign.

9.4. A versão em português destes Termos e Condicoes será legalmente válida e que em caso de conflito entre a versão em português e a versão em inglês destes Termos e Condicoes, a versão em português por prevalecerá.

10. DA LEGISLAÇÃO APLICÁVEL E DO FORO

10.1. Estes Termos são regidos pelas leis da República Federativa do Brasil.

10.2. Fica eleito o foro da Comarca de São Paulo/SP para dirimir controvérsias, com renúncia a qualquer outro, ressalvada a competência de foro protetivo eventualmente assegurada por lei ao titular/consumidor.

WAIVER OF LIABILITY AND RELEASE: By participating in the Drawing and submitting an Entry, each entrant waives, discharges and fully releases Sponsor, the Related Entities, and any other companies associated with the Drawing, and all of their respective officers, directors, employees, agents and representatives, from any and all liability, injury, damage or loss that may occur, directly or indirectly, in whole or in part, from or in connection with participation in the Drawing or from the receipt or use of any prize or from any activity related to the receipt or use of any prize. By receipt of a prize, each prize winner agrees to release and hold harmless the Sponsor and the Related Entities from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Drawing or receipt or use or misuse of such prize.‍

PUBLICITY: Except where prohibited, each prize winner, by acceptance of a prize, grants to the Sponsor and the Related Entities the right to publicize the prize winner’s name (first name and last initial), social media handle(s), address (city and state of residence), photograph, voice, statements and/or other likeness/persona and prize information in any and all media now known or hereafter devised, for commercial and non-commercial advertising, trade and other purposes, throughout the world, in perpetuity, in any manner, without limitation and without additional compensation, consideration, notification or permission, unless prohibited by law. ‍

LIMITATIONS OF LIABILITY: Sponsor is not responsible for stolen, late, incomplete, inaccurate, misdirected, lost, damaged, or garbled Entries, messages or e-mail; for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), application, or other connections; availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines; or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or problems of any kind whether human, mechanical, electronic, network, computer, typographical, printing or otherwise relating to or in connection with the Drawing, including, without limitation, errors or difficulties which may occur in connection with the administration of the Drawing, the processing of Entries, the announcement of prize, functionality of the application or in any Drawing-related materials. The Sponsor is also not responsible for any incorrect or inaccurate information, whether caused by entrant, tampering, hacking, or by any applications, equipment or programming associated with or utilized in the Drawing. The Sponsor is not responsible for injury or damage to entrant’s or to any other person’s mobile device related to or resulting from participating in this Drawing or downloading materials from or use of any application. Persons who tamper with or abuse any aspect of the Drawing or any application or attempt to undermine the legitimate operation of the Drawing by cheating, deception or other unfair playing practices, or intend to annoy, abuse, threaten or harass any other entrant or any representative of Sponsor and/or the Related Entities, or who are in violation of these Official Drawing Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Any attempt to deliberately damage the content or operation of this Drawing is unlawful and subject to legal action by the Sponsor, and their respective agents. Sponsor’s failure to enforce any term of these Official Drawing Rules shall not constitute a waiver of that provision. Sponsor shall have the sole right to disqualify any entrant for violation of these Official Drawing Rules or any applicable laws relating to the Drawing and to resolve all disputes in its sole discretion. ‍

GENERAL CONDITIONS: Sponsor reserves the right, in its sole discretion, to cancel, suspend and/or modify the Drawing. ‍

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE APPLICATION OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS DRAWING IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY SUCH ENTRANT AND RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW. All drawings will be conducted by the Sponsor whose decisions are final and binding in all matters relating to the Drawing.
NOTIFICATION OF WINNERS/RELEASES:
Prize winners who play our virtual wheel game at the booth will receive the prize on the day. If a potential prize winner does not take the item at the booth they will be disqualified. Potential prize winner may be required to sign and have notarized an Affidavit of Eligibility/Prize Acceptance/Liability and, where permitted, a Publicity Release and submit to Sponsor within three (3) business days of notification in order to claim a prize.
